Membership Terms

By registering as a member of EMAX United AS (org. no. 937 059 914), hereinafter "EMAX United", a binding membership agreement is entered into on the following terms.
1. Purpose and Nature of the Membership
EMAX United is a membership-based collective service that provides self-employed professionals, consultants, and smaller businesses with access to pre-negotiated agreements, collective solutions, and other membership benefits.
The membership is a collective service and does not entail the delivery of separate goods or services from EMAX United.
2. Membership Agreements and Access
2.1 Right of Access
The membership grants the member the right to access the membership agreements, collective solutions, and other membership benefits available through EMAX United at any given time.
Access requires an active and paid membership and is subject to the terms applicable to each individual agreement and partner.
2.2 Limitation of Liability
Membership agreements are provided by external partners. EMAX United is not a party to such agreements and bears no responsibility for third-party deliveries, prices, or terms.
Changes to, or termination of, membership agreements resulting from decisions by partners do not constitute grounds for claims of price reduction, refund, compensation, or cancellation of the membership.
3. Trial Period
New members are offered a non-binding trial period of three (3) months from the date of registration.
During the trial period, the member has full access to all membership benefits and services on equal terms with regular members.
The member may cancel the membership at any time during the trial period at no cost. Cancellation during the trial period entails no payment obligation.
If the membership is not cancelled before the trial period expires, the regular membership takes effect. The binding period of twelve (12) months runs from the date the trial period expires.
The first payment charge occurs when the trial period expires.
EMAX United will send a notification by email before the trial period expires, so the member can decide on continued membership.
4. Membership Duration and Binding Period
The membership is entered into for a binding period of twelve (12) months from the date of registration.
After the binding period expires, the membership is automatically renewed for new 12-month periods unless cancelled before the end of the current period.
Cancellation shall be made via the member portal or in writing to EMAX United.
5. Payment and Payment Options
Upon registration, the member may choose between the following payment methods:
a) Card payment via Stripe (monthly charge)
The membership fee is an annual financial obligation but may be paid through monthly charges on the registered payment card via Stripe.
The member consents to Stripe being used as the payment processor.
The member is responsible for ensuring that a valid payment method is registered at all times.
b) Invoice (12 months prepaid)
When invoice is selected, the entire membership period (12 months) is invoiced in advance.
The invoice is sent to the provided email address and/or as EHF where available.
Payment is due within 14 days of the invoice date, unless otherwise stated.
6. Annual Financial Obligation
Regardless of payment method, the following applies:
- The membership fee is considered an annual membership fee, not a recurring monthly subscription without commitment.
- Monthly card charges are to be considered a payment plan for the annual fee.
- Failure to pay does not exempt the member from the payment obligation for the remainder of the binding period.
7. Non-Payment and Default
Non-payment is considered a breach of contract.
In the event of a breach, EMAX United may:
- Immediately suspend access to membership benefits
- Demand that the entire remaining balance for the binding period becomes due
- Invoice the claim and refer it to debt collection in accordance with the Debt Collection Act
The member acknowledges that registration of a membership in itself establishes a payment obligation, regardless of whether an invoice is paid or not.
8. Obligation When Using Services
If the member uses services or agreements that require an active membership (for example, insurance arrangements), the membership cannot be terminated until such services have been properly cancelled in accordance with the terms of the relevant partner. The member is personally responsible for such cancellation.
9. Use of Membership Benefits
Membership benefits, including discount codes, agreement numbers, and access to partner agreements:
- are personal
- require an active and paid membership
- may only be used within the scope of the applicable agreements
It is not permitted to share membership benefits with non-members or to use them after termination or in the event of payment default.
10. Post-Termination Effects
Upon cancellation, default, or other termination, all rights to use membership benefits cease with immediate effect. The member is responsible for preventing further use, including by employees, contractors, or partners.
11. Strict Liability
The member bears strict liability for all use of membership benefits attributable to the membership, regardless of who actually used them.
12. Monitoring and Information Sharing
To ensure proper use of membership agreements, EMAX United and relevant partners may exchange necessary information regarding the use of membership benefits. The exchange is limited to what is necessary to confirm valid membership, detect breaches, and administer the membership agreements.
The member is aware of and accepts that unauthorized use will normally be detected through such monitoring.
13. Privacy
EMAX United processes personal data in accordance with the Personal Data Act and GDPR. The full privacy policy is available at emaxunited.no/privacy-policy.
14. Breach of Contract
The following is considered a breach of contract:
- Non-payment
- Use of membership benefits without a valid and paid membership
- Sharing or misuse of membership agreements
- Use after termination
- Providing incorrect or misleading information at registration
15. Remedies and Compensation
In the event of a breach, EMAX United may:
- Suspend the membership without refund
- Demand payment for the entire binding period
- Refer the claim to debt collection
- Claim compensation for documented losses
In the event of misuse of membership benefits, EMAX United may additionally claim a contractual penalty equivalent to one (1) year's membership fee, calculated based on the member's membership level, unless higher losses are documented.
16. Limitation of Liability
EMAX United has no delivery obligation to the member beyond providing access to the membership agreements available at any given time.
EMAX United is not liable for direct or indirect losses resulting from changes to, or termination of, third-party agreements.
17. Changes to Terms
Material changes to the terms will be notified at least 30 days before they take effect.
18. Governing Law and Jurisdiction
These terms are governed by Norwegian law. Disputes shall be resolved by Norwegian courts with Nordmøre og Romsdal as the legal venue.
